These Terms of Service ("Terms") govern your access to and use of the Linear Ventures Business Operating Suite (the "Platform"), a cloud-based business management SaaS operated by Linear Ventures, a business entity registered in India ("we", "us", or "Linear Ventures").
By creating a workspace, completing onboarding, or using the Platform in any way, you ("Subscriber" or "you") agree to be bound by these Terms. If you do not agree, do not use the Platform.
1. The Platform
The Linear Ventures Business Operating Suite is a multi-tenant SaaS application providing modules for sales invoicing, purchase management, inventory, production, accounting, GST/VAT compliance, payroll (WPS), marketing, e-commerce, and AI-assisted business intelligence.
Access is by invitation only. Each subscriber is allocated an isolated workspace ("Tenant") identified by a unique Company ID.
2. Subscriptions, Tiers, and Payment
- Subscriptions are offered on monthly or annual plans across tiers (Lite, Pro, and others) as published on the Platform.
- Trial periods, where offered, are time-limited. Access is automatically suspended at trial expiry unless upgraded.
- Fees are billed in advance. All fees are non-refundable except as required by applicable law.
- We reserve the right to change pricing with 30 days' written notice to your registered email.
- Suspended or cancelled accounts lose access immediately. Data is retained for 90 days post-cancellation, after which it may be permanently deleted.
3. Your Data
- Ownership. You own all business data you input into the Platform (invoices, transactions, contacts, products, etc.). Linear Ventures claims no ownership over your data.
- Licence to operate. You grant Linear Ventures a limited, non-exclusive licence to store, process, and display your data solely to provide the Platform services to you.
- Tenant isolation. Your data is logically isolated from other tenants. Other subscribers cannot access your workspace.
- Infrastructure access. As the platform operator, Linear Ventures has infrastructure-level access to the underlying database, the same as any cloud SaaS provider (e.g., Zoho, QuickBooks). We are contractually bound by these Terms not to access, use, or disclose your data for any purpose other than operating the Platform, resolving technical incidents, or complying with legal obligations.
- Third-party processors. Your data is stored on Neon (PostgreSQL database, encrypted at rest and in transit), hosted infrastructure by Vercel, and may pass through Google (Gemini AI API) solely to generate AI responses. See Section 6 for AI-specific terms. None of these processors use your data for their own commercial purposes.
- Data export. You may request an export of your data at any time by contacting support@linearventures.in.
4. Acceptable Use
You agree not to:
- Use the Platform for any unlawful purpose or in violation of any applicable regulation
- Enter false, fraudulent, or misleading business data
- Attempt to access another tenant's workspace, reverse-engineer the Platform, or circumvent security controls
- Resell, sublicense, or white-label the Platform without written authorisation from Linear Ventures
- Use the AI features to generate content intended to deceive, defraud, or harm any person
- Share login credentials with unauthorised persons
Violation of acceptable use may result in immediate suspension without refund.
5. Accounting Accuracy & Compliance
The Platform provides tools to assist with bookkeeping, GST/VAT compliance, invoicing, and financial reporting. However:
- You are solely responsible for the accuracy of data you enter and for the correctness of filings submitted to any tax authority
- The Platform does not constitute professional accounting, legal, or tax advice
- You should engage a qualified chartered accountant or tax advisor for compliance review
- Linear Ventures is not liable for penalties, interest, or assessments arising from incorrect or late filings
6. AI Features
- The Platform includes AI-powered features ("AI Copilot") powered by Google Gemini. Your queries and relevant business context (ledger balances, recent transactions) are sent to Google's Gemini API to generate responses.
- Google does not use data submitted via the API to train their models (per Google's API terms). Queries are processed and discarded.
- AI responses are for guidance only. They do not constitute financial, legal, or tax advice. Do not act solely on AI-generated voucher drafts without review.
- AI usage is subject to token caps per tier. Exceeding your cap will result in AI features being temporarily unavailable until the next billing cycle.
- We reserve the right to modify, limit, or discontinue AI features at any time.
7. Third-Party Integrations
The Platform integrates with third-party services including Meta (Facebook, Instagram, WhatsApp), Google Analytics, Razorpay, and others. Your use of these integrations is subject to the respective third party's terms of service. Linear Ventures is not responsible for the availability, accuracy, or practices of third-party services.
8. Service Availability
- We aim for high availability but do not guarantee uninterrupted service. Planned maintenance will be communicated where possible.
- We reserve the right to modify, suspend, or discontinue any feature or the entire Platform with reasonable notice, except in cases of security emergency.
- We are not liable for losses arising from downtime, data unavailability, or service interruptions.
9. Limitation of Liability
To the maximum extent permitted by law:
- The Platform is provided "as is" without warranties of any kind, express or implied
- Linear Ventures shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or business interruption
- Our total aggregate liability to you for any claim arising under these Terms shall not exceed the fees paid by you to Linear Ventures in the three months preceding the claim
- Nothing in these Terms limits liability for fraud, death, or personal injury caused by our negligence
10. Intellectual Property
All code, design, algorithms, platform architecture, and brand assets of the Linear Ventures Business Operating Suite are the exclusive intellectual property of Linear Ventures. You are granted a limited, non-transferable licence to use the Platform during your subscription. No rights are transferred to you other than this usage licence.
11. Confidentiality
Each party agrees to keep the other's confidential information (including business data, pricing, and platform architecture) confidential and not to disclose it to third parties without prior written consent, except as required by law.
12. Termination
- By you: You may cancel your subscription at any time. Access continues until the end of the paid period.
- By us: We may suspend or terminate your account immediately for material breach of these Terms, non-payment, or if we reasonably believe your use is causing harm to the Platform or other users.
- Upon termination, your data is retained for 90 days. You may request export within this window. After 90 days, data is permanently deleted.
13. Governing Law & Disputes
These Terms are governed by the laws of India. Any dispute arising out of or relating to these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of the competent courts of Ahmedabad, Gujarat, India.
For UAE-based subscribers, Indian law applies to the extent not inconsistent with mandatory UAE law.
14. Changes to These Terms
We may update these Terms from time to time. Material changes will be notified by email to your registered address at least 14 days before they take effect. Continued use of the Platform after the effective date constitutes acceptance. If you disagree with a change, you may cancel your subscription before the effective date.
